Terms of service

The terms for using SpendShrink: read-only AWS access, pricing, AWS-side charges, liability and cancellation.

Edition 2026-10-20.2 / Effective 2026-10-20

Effective 20 October 2026. Version 2026-10-20.2.

These terms are an agreement between Spend Shrink LLC, a West Virginia limited liability company ("SpendShrink", "we", "us"), and the business that uses SpendShrink ("Customer" or "you"). They govern your use of spendshrink.com, app.spendshrink.com and everything we provide through them (the "Service").

We have tried to keep them readable. The headings are for convenience; the words under them are what count. Section 15 says that disputes are settled by individual arbitration, not in court or in a class action, and Section 15.7 explains how to opt out within 30 days. Please read it.

1. Accepting these terms

You accept these terms when you create an account, connect an AWS account, start a subscription, or otherwise use the Service. If you do not agree, do not use the Service.

The person who accepts these terms confirms that they are at least 18 years old and are authorised to bind the business they act for. If they are not, they accept these terms personally and are responsible for the business's use of the Service.

2. Business use only

SpendShrink is a tool for businesses that run workloads on Amazon Web Services. It is not offered to consumers or for personal, family or household purposes, and you confirm you are using it for business purposes. Consumer protection laws that apply only to consumers do not apply to this agreement to the extent the law allows.

If you are a managed service provider and use the Service on behalf of your own customers, you confirm that each of them has authorised you to connect their AWS accounts and share their billing data with us. You are responsible to us for their use of the Service through your account.

3. The Service

SpendShrink analyses your AWS billing and resource data, explains where the money goes, and proposes savings as evidence-backed missions and Terraform merge requests. The role you deploy is read-only: it can observe your AWS account but cannot create, change or delete anything in it. Every proposed change is yours to review, edit, approve or discard. Nothing in your infrastructure changes unless someone on your team merges and applies it.

We improve the Service continuously and may add, change or remove features. If we remove a feature that is central to what you pay for, we will tell you in advance where we reasonably can.

3.1 Beta features

Some features are labelled beta, preview or early access. They are offered as they are, may change or disappear without notice, and are excluded from any commitment we make about availability or support.

4. Your account

Keep your credentials private, give accurate account information and keep it current, and tell us promptly at support@spendshrink.com if you suspect unauthorised use. You are responsible for everything done under your account by your users, including anyone you invite.

5. Connecting AWS and your responsibilities

You authorise SpendShrink to assume the read-only IAM role you create through our CloudFormation stack, to read the FOCUS billing export delivered to the S3 bucket in your account, to read the resource metadata and utilisation metrics that role allows, and, if you choose it, to run a one-time AWS Cost Explorer import of up to twelve months of past cost data. You may revoke that access at any time by deleting the CloudFormation stack.

You are solely responsible for:

  • having the right to connect each AWS account you connect and to share its data with us;
  • your AWS accounts, their configuration, security and contents;
  • reviewing, testing, approving and merging any change we propose, and for the result of applying it, including any downtime, data loss, security exposure or cost it causes;
  • keeping your own backups and change-control process; and
  • everything AWS bills you for.

AWS charges on your side. The resources the stack creates (the S3 bucket, the billing data export, and, if you enable it, a one-time Cost Explorer history import) are billed by AWS to your account at AWS's published rates. They are typically small, they are yours to keep or remove, and SpendShrink does not pay or reimburse them.

6. Price, billing and renewal

SpendShrink costs the greater of US$49.99 per month and 1% of the monthly AWS spend it tracks for your business. The tracked-spend figure is the sum of the billed cost in your connected accounts' billing data for the billing period. We never take a share of the savings you make.

  • Renewal. Your subscription renews automatically each month until you cancel. Payments are processed by Stripe, and you authorise us to charge the payment method on file for each period.
  • Taxes. Prices exclude taxes. You pay any sales, use, value-added or similar taxes on your purchase, other than taxes on our income.
  • No refunds for partial periods. When you cancel, access continues to the end of the paid period and is not refunded for unused time, except where the law requires otherwise.
  • Late payment. If a payment fails, we will tell you by email and give you at least 7 days to fix it before we suspend the Service. We restore access once the balance is paid.
  • Disputed charges. If you think a charge is wrong, write to support@spendshrink.com within 60 days of the charge so we can look at it. Please do this before opening a chargeback with your bank.
  • Price changes. We may change prices with at least 30 days' notice in the app or by email. A change applies from your next billing period after the notice period. If you do not want to pay the new price, cancel before it applies.

7. Acceptable use

You will not, and will not let anyone else:

  • connect an AWS account you are not entitled to connect;
  • try to access another customer's data, or any part of the Service you are not authorised to use;
  • probe, scan or test the Service's security, or disrupt or overload it, without our written permission;
  • copy, modify, decompile, disassemble or reverse engineer the Service, or try to extract its source code or models, except where the law expressly allows it despite this restriction;
  • use the Service to build a competing product, or resell, sublicense or offer it to third parties without a written agreement with us; or
  • use the Service in breach of law, including export control and sanctions law.

8. Your data

Your AWS data and your account data stay yours. You give us a licence to host, process and analyse that data only as needed to provide, secure and support the Service for you, and to produce aggregated, de-identified statistics that do not identify you or any person. Our handling of personal data is described in the privacy policy, which forms part of these terms. A data processing agreement is available on request at privacy@spendshrink.com.

You are responsible for the data you put into the Service and for having the rights and permissions to do so.

9. Our intellectual property

The Service, including its software, models, prompts, designs, documentation and trademarks, belongs to SpendShrink and its licensors and is protected by law. Subject to these terms and to paying for your subscription, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. We reserve everything not expressly granted.

Missions, reports and merge requests the Service generates for you are yours to use in your business. We may reuse the general know-how, patterns and templates behind them, without your data.

Feedback. If you send us ideas or suggestions, we may use them freely and without obligation to you.

10. Third-party services

The Service works with services we do not control, including Amazon Web Services, Stripe and Google sign-in, and relies on an AI model provider to generate missions. Your use of AWS, Stripe and Google is governed by your own agreements with them. We are not responsible for their services, their availability, or changes they make that affect the Service.

11. No guarantees

We work hard to make every mission accurate and every number traceable to a billing line, and we show the evidence so you can check it. Even so:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, SPENDSHRINK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.

In particular, we do not guarantee:

  • any particular saving, or any saving at all;
  • that any estimate, forecast, recommendation, mission or AI-generated explanation is complete or correct;
  • that any merge request is correct, safe, compatible with your environment, or free of side effects; or
  • that the Service will be uninterrupted, error-free or always available.

AI-generated output can be wrong. Treat every recommendation as a proposal for a qualified engineer to check.

12. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  1. NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OR UNREALISED SAVINGS, LOST DATA, BUSINESS INTERRUPTION OR AWS CHARGES, HOWEVER CAUSED, EVEN IF TOLD THEY WERE POSSIBLE.
  2. SPENDSHRINK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS, TOGETHER, IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, OR US$100 IF YOU PAID NOTHING IN THAT PERIOD.

These limits apply to every kind of claim, whether in contract, tort (including negligence), statute or otherwise, and in every forum, including arbitration and small claims court. They are part of the bargain: our prices reflect them. They do not limit your obligation to pay fees, your obligations under Section 13, or liability that the law does not allow to be limited, such as liability for fraud.

12.1 Claims against the company only

SpendShrink is a limited liability company. Any claim relating to the Service or these terms may be brought only against Spend Shrink LLC, and not against any of its members, managers, employees, contractors or agents personally.

13. Your indemnity

You will defend and indemnify SpendShrink, and its members, managers, employees and contractors, against any third-party claim, and the resulting losses, damages, fines and reasonable legal costs, arising from: (a) data you or your users provide or connect, including any claim that you lacked the right to share it; (b) changes you or anyone acting for you make to your infrastructure, including changes based on our recommendations or merge requests; (c) your breach of these terms or of law; or (d) for managed service providers, any claim by your customers. We will tell you promptly about any such claim, let you control its defence, and cooperate at your expense. You may not settle a claim in a way that admits fault by us or binds us without our written consent.

14. Suspension and termination

You can cancel at any time from the app; access continues to the end of the paid period. We may suspend or end your access if you break these terms, do not pay after notice, or if your use presents a security or legal risk to us or other customers. We will tell you why unless the law or a security need prevents it. Either party may end this agreement for convenience at the end of a billing period.

When the agreement ends, your right to use the Service stops, and we stop reading from your connected AWS accounts. You can export your data before then. Data is then deleted as described in the privacy policy.

15. Disputes and binding arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL.

15.1 Talk to us first

Most problems are solved with an email. Before starting any arbitration or court proceeding, the party with the complaint must send the other a written notice describing it: the claimant's name and account email, the facts, the relief sought, and the amount claimed. Notices to us go to support@spendshrink.com with the subject "Notice of dispute"; notices to you go to your account email. The parties will try in good faith to resolve the dispute for 60 days after the notice is received. Neither party may start a proceeding until that period ends, and any limitations period is paused while it runs.

15.2 Binding individual arbitration

If the dispute is not resolved, it will be settled by final and binding arbitration, except as stated in Sections 15.4 and 15.7. This covers every dispute, claim or controversy arising out of or relating to these terms, the Service, billing, or the relationship between you and SpendShrink, whether based on contract, tort, statute or any other theory, including disputes about the scope or enforceability of this arbitration agreement.

The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures, or under its Comprehensive Arbitration Rules and Procedures where the amount in dispute exceeds the Streamlined Rules' threshold, in each case as in force when the arbitration begins and as modified by these terms. It will be heard by a single arbitrator, seated in Berkeley County, West Virginia, conducted in English, and held by video conference or written submissions unless the arbitrator decides an in-person hearing is needed. The arbitrator's award is final and may be entered as a judgment in any court with jurisdiction. The arbitrator is bound by these terms, including Section 12, and proceedings and awards are confidential except as needed to enforce them.

15.3 Fees

Arbitration fees are paid as the JAMS rules provide. Each party bears its own lawyers' fees and costs. The arbitrator may award fees and costs against a party whose claim or defence was frivolous or brought in bad faith or for an improper purpose.

15.4 Small claims

Either party may instead bring an individual claim in a small claims court in Berkeley County, West Virginia, or in the county of your principal place of business in the United States, as long as the claim stays in that court and is pursued only on an individual basis.

15.5 Class action and jury trial waiver

YOU AND SPENDSHRINK EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of different customers or award relief to anyone other than the individual party bringing the claim. YOU AND SPENDSHRINK EACH WAIVE ANY RIGHT TO A JURY TRIAL. If this class action waiver is found unenforceable for a particular claim, that claim (and only that claim) must be severed and heard in the courts described in Section 16, after the arbitration of all other claims.

15.6 Mass filings

If 25 or more similar arbitration demands are filed against us by or with the help of the same law firm or organisation, the parties agree that JAMS will administer them in batches of up to 25, with one arbitrator per batch, and that no further batch starts until the previous one is resolved. Statutes of limitations are paused for demands waiting in the queue.

15.7 Opting out

You can opt out of this arbitration agreement by emailing support@spendshrink.com with the subject "Arbitration opt-out", giving your business name and account email, within 30 days after you first accept these terms. Opting out does not affect any other part of these terms, including Sections 12 and 15.5 so far as the law allows them outside arbitration. If you opt out, disputes are resolved in the courts described in Section 16.

15.8 Federal Arbitration Act

This agreement involves interstate commerce, and this Section 15 is governed by the Federal Arbitration Act. If any part of Section 15 is found unenforceable, the rest remains in effect, except as stated in Section 15.5.

16. Governing law and courts

These terms are governed by the laws of the State of West Virginia and applicable United States federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 15, the state and federal courts located in Berkeley County, West Virginia have exclusive jurisdiction over any dispute, and both parties consent to their jurisdiction and venue. Either party may still seek urgent injunctive relief in any competent court to protect its intellectual property or confidential information.

17. One-year time limit for claims

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE STARTED WITHIN ONE YEAR AFTER IT AROSE, OR IT IS PERMANENTLY BARRED, to the extent the law allows a shorter period than the statutory one. The informal resolution period in Section 15.1 is not counted.

18. Export control and sanctions

You confirm that you are not located in, organised under the laws of, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and that you are not on, or owned or controlled by anyone on, a United States government restricted-party list. You will not use or let anyone use the Service in breach of United States export control or sanctions law.

19. Events outside our control

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as outages of AWS or other providers, internet failures, natural disasters, war, terrorism, labour disputes, government action or cyberattacks. This does not excuse paying fees that are due.

20. General terms

  • Changes to these terms. When these terms change, the version and effective date above change with them. We announce material changes in the app or by email at least 30 days before they apply, except changes required by law or for security, which may apply sooner. Continuing to use the Service after a change applies means you accept it. A change to Section 15 does not apply to a dispute we already had notice of before the change.
  • Notices. We send notices to your account email or show them in the app; they count as received the day they are sent. You send notices to support@spendshrink.com, except privacy requests, which go to privacy@spendshrink.com.
  • Assignment. You may not transfer this agreement without our written consent. We may transfer it to an affiliate or to a successor in a merger, acquisition or sale of assets.
  • Entire agreement. These terms, the privacy policy and any order or agreement we sign with you are the whole agreement about the Service and replace earlier discussions. Terms in your purchase orders or other documents do not apply, even if we accept the document.
  • Order of precedence. If a written agreement signed by both parties conflicts with these terms, the signed agreement wins for that point.
  • Severability. If any provision is found unenforceable, it is changed only as much as needed to make it enforceable, and the rest of these terms stay in effect.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Independent parties. We are independent contractors. Nothing here creates a partnership, agency, employment or fiduciary relationship, and there are no third-party beneficiaries.
  • Survival. Sections 5, 6 (for amounts owed), 8, 9, 11, 12, 13, 15, 16, 17 and 20 survive the end of this agreement.
